Alhambra Club Bylaws  

Article I. Mission Statement  

It is the objective of this organization to promote good will and neighborliness through planned group activities and social functions.  

Article II Activities  

The association will attempt to foster a positive social climate for all active members with activities such as, but not limited to, the following:  

A. Monthly Membership Meetings

B. Sporting Events

C. Travel

D. Theater & Arts

E. Socials

F. Inter‑Club Competitions  

Article Ill. Membership and Dues  (Members heretofore shall mean households)  

The following rules shall apply to membership and dues:  

A. Membership shall be limited to the residents of Villa Del Canto, Villa De Leon and Village Alhambra.  

B. Annual dues are $5.00 per member, payable in January, prorated semi‑annually.  

C. Changes in dues must be proposed by the board and voted on by the general membership.  

D. Each member in good standing shall be entitled to one vote on matters presented to the general membership.  

E. Members in good standing shall be given first consideration to participate in events where limited space is available.  

Article IV. Meetings  

The following rules shall apply to meetings:  

A. The general meeting shall be held once a month.  

B. All meetings shall be conducted in accordance with Robert's Rules of Order and as provided by these bylaws.  

C. Meetings are not intended to be used as commercial or political forums. This does not preclude inviting commercial entities to give presentations that will assist the board and general membership in making decisions for the good of the club.

D. Issues presented to the general membership for a vote shall be decided by a simple majority of those members in good standing in attendance.  In the event of a tie vote, the President and board members will cast the deciding vote.

Article V. Board of Directors  

The following rules shall apply to the election of officers:  

A. The Board of Directors shall be comprised of a President, Vice President, Secretary, Treasurer, Social Chairman, Activities Chairman and Public Relations Chairman.  All of  whom shall be permanent full time residents.  

B. At the October board meeting, the president shall appoint a nominating committee consisting of seven (7) members in good standing. The nominating committee will nominate at least one candidate for each officer's position that is open for election.  

C. At the November meeting, the nominating committee will present a slate to the general membership and nominations will be accepted from the floor. The committee will collect ballots, tabulate and announce the names of the newly elected officers.  

D. The newly elected officers will begin their one year terms in January of the following year.  

E. Should vacancies occur during the year, they shall be filled at the next scheduled general meeting by nominations from the floor and a majority vote of members in good standing in attendance.  

F. Persons serving as officers who miss more than three (3) meetings in succession may be replaced at the     general meeting by nominations from the floor.  And a majority vote of members in good standing in attendance.  

Article V1. Duties of Board Members  

The President shall:  

A. Chair all board meetings.  

B. Chair all general membership meetings.  

C. Approve all outgoing correspondence and publicity.  

The Vice President shall:  

A.    In the absence of the President, serve in that capacity.  

B.  Shall be responsible for establishing refreshment and clean-up committees for each meeting.  

The Secretary shall:  

A. Record and retain the minutes of all board and general membership meetings.  

B. Handle all club correspondence.  

C. Notify board members and general membership of special meetings.  

D. Maintain a current list of all active members.  

E. Perform duties assigned by board.  

The Treasurer shall:  

A. Establish a bank checking account in the name of the club, where the signatures of two officers are required for  withdrawals.  

B. Account for all receipts and disbursements.  

C. Prepare a current financial statement for each monthly meeting.  

D. Assure that all moneys are deposited within one week of receipt.  

E. Maintain a petty cash fund not to exceed one hundred ($100.00).  

F. Pay all monies exceeding $100.00 by check counter signed by either the President or Vice President.  

F. Assist Secretary in maintaining current list of active members.  

G. Retain all records for annual audit.  

H. Prepare a proposed budget with a committee of three in good standing.  

Article VII. Finances  

All moneys spent by the club are intended to benefit all members of the club, even though all members may not choose to participate in each event. The Treasurer's books are available for the general membership's perusal by written request to the board of directors.  

Article VIII. Resident Council Representative  

The Resident Council is an organization of clubs, activity groups, and other organizations that provide services to the residents of the Villages. It works in cooperation with the Village Center Recreation Department. Each club has a representative that serves on this council. The representative may, but need not be, an existing Club officer.  

The Resident Council Representative  shall:                                                                                                                                                        

A. Carry out his responsibilities as established by the Villages Recreation Department's Rules and Procedures.  

B. Attend Board meetings in a non‑voting, advisory, and liaison capacity.  

C. Represent the Alhambra Club by attending Resident Council Meetings  

D. Assist Board members and Committees with matters pertaining to scheduling of events at Village Recreation facilities.  

Article IX Changes To Bylaws  

Any proposed changes to these bylaws must be submitted to the Secretary, in writing, at least thirty (30) days before the scheduled October General  meeting to allow board review and distribution to the general membership at the October general membership meeting.  

Adopted bylaws shall become effective at the first board meeting of the following year. The general membership will be advised of all changes to the bylaws as soon as practical.
